The Old National Bancorp Stock Purchase & Dividend Reinvestment Plan
As part of our continuing effort to provide quality service to our current
and future investors, we are proud to offer The Old National Bancorp Stock
Purchase and Dividend Reinvestment Plan ("Plan"). Old National has appointed Continental
Stock Transfer & Trust Company to act as the Plan Administrator. Whether you are a
current
shareholder or an investor purchasing shares for the first time, the Plan
offers you a convenient and economical way to purchase shares of Old National
Bancorp no par value common stock with cash investments and all or a portion
of their dividends.
Features
- Investors can open an account with an initial purchase of as
little as $500 or as much as $15,0001 per month. With the automatic
monthly investment feature of the Plan, however, you can enroll for
as little as $25.
- Participants can then purchase additional shares of common stock
from $25 per month to a maximum of $15,0001 per month.
- Investors can reinvest all or a portion of their dividends to purchase
additional shares of common stock.
- Investors can conveniently gift shares of Old National Bancorp common
stock to others through the Plan.
- Investors will benefit from full investment of any funds contributed
to the Plan since fractional shares of common stock are credited to
participant accounts.
- Investors can sell shares of common stock held in their Plan account
each week directly through Old National Bancorp for $.15 per share transaction
charge, plus any applicable brokerage fees.

Reinvestment Plan. Details of the terms and conditions of the Plan including

Participation
Any interested investor can participate in the Plan. Whether you are
a new investor or a current shareholder looking to add to your Plan account,
you can purchase shares of Old National Bancorp common stock directly from
the company by completing and returning the appropriate enrollment information.
Initial Investment
The Plan's minimum initial investment is $500 and the maximum initial
investment is $15,0001 per month. With the automatic monthly investment
feature of the Plan, however, you can enroll for as little as $25 and experience
the added convenience of regular monthly share purchases via electronic
debits from your checking or savings account. No fee is charged for the
Automatic Monthly Investment feature.
Additional Investments
Additional stock purchases must be at least $25 per transaction, and
not more than $15,0001 per month (inclusive of the initial investment).
Purchase Dates
Plan purchases for an initial or optional cash investment will occur
on the 5th and 20th day of each month or, if such day is not a business
day, the next business day. The Plan Administrator must receive your cash
investment at least two business days prior to a purchase date. If not received
prior to a purchase date, your cash investment will be held until the next
purchase date. If you enroll in the automatic monthly investment program,
funds are drafted from your account on the 25th day of each month, or the
previous business day, and then invested at the next purchase period.
Reinvestment of Dividends
Through the Plan, you can maximize your investment in the company by
automatically reinvesting your Old National Bancorp dividends in additional
shares. Shares of common stock purchased through the Plan will post automatically
to your account for safekeeping. If you prefer cash dividends, you can receive
them by check or have them deposited directly into your bank account. You
may also choose a combination of dividend reinvestment and cash distributions
by selecting the partial dividend reinvestment option on the enrollment
form.
Certificate Safekeeping
Your stock certificates are valuable and expensive to replace if lost
or stolen. The Plan Administrator offers you the convenience of depositing your
certificates
for safekeeping at no additional charge. To deposit physical certificates,
mail them to Continental Stock Transfer & Trust Company, Attn: Dividend Reinvestment
Plan Department, 1 State Street, 30th Floor, New York, NY 10004-1561, along
with a note instructing us
to deposit the shares into book-entry form. Do not endorse the certificate(s).
We recommend using Certified Mail and insuring them for 3% of the market
value of the certificates.
Account Statements
You will receive a statement of your Plan account activity following
any purchase, sale, transfer, or withdrawal. During months in which dividends
are paid, you will receive only one statement, which will include all relevant
investment and dividend information. Please retain this statement for tax
purposes.
Sales
You can sell Old National Bancorp common stock held in your Plan account
through the Plan Administrator for a fee of only $.15 per share plus any applicable
brokerage fees. Sale trades are placed once each week. To request a sale,
simply complete and return the top portion of your account statement to
the Plan Administrator.
